BYLAWS.

Standard Bylaws – Schedule 1

(from the BC Societies Act)​​

Part 1 – Definitions and Interpretation

  • 1.1 In these bylaws:

    • “Act” means the Societies Act of British Columbia as amended from time to time

    • “Board” means the directors of the society

    • “Director” means a member of the board of directors

    • “Member” means a member of the society

  • 1.2 The definitions in the Act apply to these bylaws.

Part 2 – Membership

  • 2.1 The members of the society are the applicants for incorporation and those who subsequently become members in accordance with these bylaws and the Act.

  • 2.2 A person may apply to the board for membership and becomes a member on board approval.

  • 2.3 Every member must uphold the constitution and comply with these bylaws.

  • 2.4 The amount of the annual membership dues, if any, must be determined by the board.

  • 2.5 A person ceases to be a member:

  • by delivering a written resignation to the society,

  • on death or dissolution,

  • on failure to pay dues (if any), or

  • by expulsion.

  • 2.6 A member may be expelled by a special resolution of the members.

  • 2.7 The notice of the meeting where the expulsion will be voted on must include the proposed resolution.

  • 2.8 The person who is the subject of the resolution must be given an opportunity to be heard before the vote.

Part 3 – Meetings of Members

  • 3.1 General meetings must be held at the time and place the board decides.

  • 3.2 Every member is entitled to one vote.

  • 3.3 Voting is by show of hands unless a secret ballot is requested.

  • 3.4 Voting by proxy is not permitted.

  • 3.5 A quorum is 3 voting members or 10% of the membership, whichever is greater.

Part 4 – Directors

  • 4.1 The board must have at least 3 directors.

  • 4.2 Directors are elected by members at a general meeting.

  • 4.3 Directors serve until the next annual general meeting, at which time they may stand for re-election.

Part 5 – Board Meetings

  • 5.1 Board meetings may be called by the president or 2 other directors.

  • 5.2 A quorum is a majority of the directors currently in office.

  • 5.3 Directors may meet and conduct business as they see fit, subject to the bylaws and the Act

Part 6 – Officers

  • 6.1 The board may elect officers from among the directors, such as president, vice-president, secretary, and treasurer.

  • 6.2 The duties of officers are determined by the board or outlined in the Act.

Part 7 – Financial Matters

  • 7.1 The fiscal year of the society is set by the board.

  • 7.2 The board must keep proper accounting records.

  • 7.3 The society must not distribute income or assets to members or directors, except as permitted under the Act.

Part 8 – Bylaw Amendments

  • 8.1 These bylaws may be amended by special resolution.
